How to Set Up a Macao Company: Real Business Case
Global Eastern Investment helped a French shareholder and a Hong Kong permanent resident establish a compliant Macao company designed to become the shareholder of a future company in Hengqin, Zhuhai. The project covered shareholder planning, company-name approval, original passport verification, business-scope optimization and preparation for future corporate banking.
Client Background
This project involved two individual shareholders from different jurisdictions: one French citizen and one Hong Kong permanent resident.
Unlike investors whose main goal is to operate locally in Macao, the shareholders had a broader cross-border investment strategy.
Their objective was to establish a Macao company that could later act as the shareholder of a new company in Hengqin, Zhuhai. This would create a compliant holding structure for future expansion into mainland China and the Greater Bay Area.
The shareholders initially considered Macao, Hong Kong and mainland China. After reviewing their investment objectives, the proximity between Macao and Hengqin and the continuing economic cooperation between the two regions, Macao was selected as the most appropriate jurisdiction.
| Project Element | Client Requirement | Planned Result |
|---|---|---|
| Shareholders | French citizen and Hong Kong permanent resident | Approve an international shareholder structure |
| Company jurisdiction | Choose between Macao, Hong Kong and mainland China | Establish a Macao holding company |
| Investment destination | Future expansion into Hengqin, Zhuhai | Use the Macao company as an investing shareholder |
| Future banking | Prepare for corporate KYC and AML review | Create a clear and bank-compatible business scope |
Challenges & Client’s Decision-Making Journey
Although Macao company registration follows an established legal procedure, several practical issues can delay incorporation if they are not identified during the preparation stage.
Signature & Passport Compliance
Shareholder signatures needed to remain consistent with passport records, while original passports had to be coordinated around one shareholder’s international travel schedule.
Company Name Approval
The company name needed to be distinctive and compliant. Rejection could require another application, additional fees and a longer incorporation schedule.
Business Scope & Structure
The business scope and two-shareholder structure needed to support future banking, branding and investment in Hengqin.
Macao authorities compare signatures on incorporation documents with the signatures appearing in each shareholder’s passport. Significant differences may cause documents to be returned for correction.
Foreign shareholders are also generally required to submit their original passports during registration. One shareholder planned to travel overseas shortly after the application, creating a timing concern.
Company-name approval normally takes approximately one week. If the proposed name is rejected, a replacement application and additional name-search fees may be required.
The company’s business scope also required careful planning. A vague or excessively broad scope could create additional questions during a future corporate bank account application and its KYC and AML review.
Macao companies may generally have between one and fifty shareholders. A one-shareholder company normally uses a “One-Person Limited” designation, while a company with two or more shareholders uses the standard “Limited” format. The clients preferred the conventional two-shareholder designation for international branding.
Customized Solution
Before preparing the incorporation documents, our team assessed the planned business activities, future investment strategy, shareholder nationalities, passport validity, banking requirements and long-term compliance objectives.
Initial Assessment
We evaluated the jurisdiction, shareholder structure, investment plan, future banking needs and expansion into Hengqin.
Document Preparation
Passport validity, shareholder information and signature consistency were reviewed before multiple original documents were signed.
Registration Submission
Company-name approval and government registration were coordinated while application progress was monitored until approval.
Banking & Compliance Planning
The business scope and supporting documents were prepared to facilitate future bank KYC and long-term corporate compliance.
To reduce the risk of signature rejection, we explained the signing requirements in advance and asked both shareholders to prepare multiple original signed copies. This avoided international courier delays if additional originals were requested.
We coordinated directly with the relevant authorities to confirm the passport verification schedule. The original passport was returned promptly after verification, allowing the shareholder’s planned travel to continue.
Several alternative company names were prepared before submission. This reduced the risk of repeated applications and helped keep the registration schedule on track.
The registered business scope was aligned with the client’s actual commercial plans and future Hengqin investment. It was also written clearly enough to support subsequent corporate bank account review.
| Registration Stage | Estimated Time |
|---|---|
| Initial consultation | 1 business day |
| Document preparation | 3–5 business days |
| Company-name review | Around 1 week |
| Government registration | 15–20 business days |
| Certificate collection | Shortly after approval |
The structure also considered core Macao incorporation requirements, including a local registered office, shareholder documentation and minimum subscribed registered capital.
| General Requirement | Description |
|---|---|
| Registered office | A registered business address in Macao is required |
| Shareholders | Generally 1–50 shareholders aged 18 or above |
| Nationality | No general nationality restriction for shareholders |
| Registered capital | Standard minimum of MOP 25,000 under a subscription system |
| Original passports | Generally required for foreign-shareholder verification |

Following approximately three weeks of coordinated preparation and government review, the client’s Macao company registration was successfully completed.
